Compliance Agreement

Any company or individual ("Client") intending to order a report through Cotal Systems, Inc., herein called CSI, hereby certifies that no report shall be ordered from CSI except in strict compliance with the Fair Credit Reporting Act and any other federal or state laws where applicable.

A. Client hereby certifies that no report shall be ordered except in connection with one or more of the following FCRA Section 604 Permissible Purposes:

• For employment purposes, including hiring and promotion decisions, where the consumer has given written permission.

• As ordered by a court or a federal grand jury subpoena.

• As instructed by the consumer in writing.

• For the extension of credit as a result of an application from a consumer, or the review or collection of a consumer's account.

• For the underwriting of insurance as a result of an application from a consumer.

• When there is a legitimate business need, in connection with a business transaction that is initiated by the consumer.

• To review a consumer's account to determine whether the consumer continues to meet the terms of the account.

• To determine a consumer's eligibility for a license or other benefit granted by a governmental instrumentality required by law to consider an applicant's financial responsibility or status.

• For use by a potential investor or servicer, or current insurer, in a valuation or assessment of the credit or prepayment risks associated with an existing credit obligation.

• For use by state and local officials in connection with the determination of child support payments, or modifications and enforcement thereof.

B. If consumer report information is used for employment purposes, Client further certifies pursuant to FCRA Section 604(b) that:

• Client has made to the consumer a clear and conspicuous disclosure in writing, in a document that consists solely of the disclosure, that a consumer report may be obtained.

• Client has obtained prior written authorization from the consumer.

• If adverse action is taken against the Consumer based in whole or in part upon the report a copy of the report and a Summary of Consumer's Rights will be provided by Client to the consumer prior to such adverse action being taken.

• The information obtained will not be used in violation of any federal or state equal opportunity law or regulation.

• CSI has made available to Client a Summary of Consumer's Rights either attached to the consumer report or centrally accessible on the internet at at http://www.ftc.gov/os/statutes/2summary.htm and Client acknowledges access to a Summary of Consumer's Rights.

• If the employment will be within the transportation industry, disclosure to and authorization from the consumer may be made by oral, written or electronic means if the consumer applies for employment by mail, telephone, computer or other similar means.

Report results are not guaranteed and fees will be collected regardless of report content, delays, errors, or other changes. Once a report request has been submitted the fee is non-refundable, and any refund or credit issued is solely at the discretion of CSI.

Client hereby agrees to protect, indemnify, defend and hold harmless CSI and all third parties from and against any and all costs, claims, demands, losses, and liabilities including actual attorney’s fees arising from or in any way related to use of information furnished by or through CSI. Provisions hereof related to release of claims, indemnification, use of information, payment for Services and disclaimer warranties shall survive any termination of this Agreement.

Client also hereby further authorizes that a photocopy of this certification may be considered as valid as the original.
